change motherboard and activation

I have a Windows 7 Premium installed from an upgrade disk. Also have a X64 bite version of Win7 disk. My question is can I change my motherboard with an Intel base cpu and use the X64 Win7 and the product key, which is valid for both? :confused:

Try this. Could I do a clean-install of install of X64 in place of the 32 bit version and change the motherboard at a time later? How would that work?

When you change the motherboard and cpu, you will have to reinstall and reactivate windows regardless of how you go about doing it, but after explaining the situation I've never been told by Microsoft that they wouldn't activate it.
