Crazy GT240 vs Win7 x64

Hi to all and thanks in advance at all that will help me,

as described in the title, since yesterday i'm fighting with the following problem:

The system configuration is :
All new items and all tested (via software with memtest,ecc. and on other Comupters)

Asrock Motherbord M3A UCC (Tried all bios version from 1.00 to 1.2)
Kingston 2x2Gb DD3 1333Mhz
Nvidia 240GT
Win7 x64Bit Pro
650W PSU
(no others PCI boards)

Tried to :
1.) Install Win 7 x64 -> Hangs on Win Logo before the installation begin.
2.) Install Win XP with same configuration -> All ok.
3.) Removed randomly a slot ram (only 1 slot with 2Gb at all) -> Installation ok,
System run fine, all the latest driver (nvidia 260.99).

From this point i used the fine working Win7 installation :

4.)Tried any distribution of ram from 1 slot of 2GB until 4 slots of 2gb each -> Hangs
on Win Logo.
5.) Tried any distribution of ram from like point 4, but with a new nvidia 9500GT ->
System works fine.

And now the best (with at least 2x2GB DDR3 RAM or more make no difference ) :

6.) Only reinserted the 240GT without any modification to the ram configuration ->
System works fine.
6.1.) Rebooted without any modifiaction -> SYSTEM HANG on Win logo :cry:
6.2) Switched only the Video Cards (240 gt out, 9500 gt in)-> System works fine.
6.3) Switched only the Video Cards (240 gt in, 9500 gt out) -> System works fine.
6.4) Rebooted without any modifiaction -> SYSTEM HANG on Win logo.

I have also tried to let it start in Safe Mode but with over of 2Gb ram and the 240 gt it hangs.

Everytime that i switch from 9500 to 240 the system works fine until i reboot.
So far i reboot it will hang on Win logo and have to switch the video cards to let it restart.

If only, now i was still a child, i would only CRY.

If someone have any idea, to resolve this enigma, i will appreciate it a lot.

No, obviously not - the board and / or other items would have already fried.

Do this - flash another BIOS, then load system config defaults for your BIOS settings, install only 2 GB of RAM and the 240, and install Windows 7, then reboot and let it update itself until your system is fully patched.

then install the other 2 GB of RAM.

Finally, modify your BIOS to test OC.
