Open an Elevated Command Prompt, and run the following command (Copy and paste it to make sure you get it right)

REG ADD HKEY_LOCAL_MACHINE\SYSTEM\CurrentControlSet\Control\Network /v MaxNumFilters /t REG_DWORD /d 0xd /f

Then reboot and try the offline install again.

ran it and it said it completed successfully. rebooted, and will now try the SP1 install again, and post back. Thanks!
