Vista 32 to Win 7 64 via Windows 7 Upgrade

Hi all,

I've been looking around for a while, but could find answers to couple of questions I have:

1. I have Windows Vista Home 32 bit. I can get a Windows 7 Professional Upgrade via Ultimate Steal program, and I want 64 bit version. I understand that I cannot perform in-place upgrade from 32 to 64 bit versions, and will need to install Win 7 from scratch. My Vista came as OEM with the computer, and I can't find its product key (actually, not sure if I ever had one). So, will I be able to install Win 7 Professional 64 via the upgrade I can get hold of?

2. Related to #1 - can I install Win 7 Professional 64 via the upgrade on new partition, without removing Vista?
