Windows 7 Ultimate Black screen with Cursor

hello all , im new to this site
i read alot about this probleem "Windows 7 Ultimate 64-bit Black screen with Cursor hang "
i dide clean install win7 ultimate 64x " and the same for 32 " and i still have the same probleem , after complete instal and do restart or shutdown there is no booting ! after motherboard logo , there a black screen with cursor .
M.B: intel g41
core 2 due e8400
kingstoon 2gb - 800mhz
i did :
replace HDD with new one .
Ram with new one
even i replace VGA Card , the same !
i checked bios , temp , driver !
finaly i i did format and instald Xp , and work fine !
then i back to win7 ultimate the same probleem .
today i try win 7 professional 64 bit and its work fine and i try win 7 professional 32 bit , the same !! only ultimate hang in booting and alt+ctrl+delete not work at all , also F8 didnt work i mean i cant reach menu for save mood or last good ... etc..
any help ?!

English is not your native language (neither mine). Which 32 bits versions of win7 work, and which 64 bits versions? Of course you don't have to try them all.

Step 9 to 18 were performed succesfully?

Does windows recovery environment and perform a http://www.sevenforums.com/tutorials/681-startup-repair.html
Does it list your win7 installation?

startup and repair i do boot win7 DVD and choise strtup repair and it sayas no start up probleem also memory diagnostic no probleems found , thats what drive me crezy
i think its relate to M.B in some way , cuse i try with intel g31 , ultimate work fine , but with g41 the same black screen with cursor !!!

Boot into recovery environment and don't do startup reapair but "command prompt". Then:

bootrec /fixmbr
bootrec /fixboot

Both successfull?

win 7 prof No BitLocker and No boot from VHD , its not that importnt for me ... but i search and want to know why this probleem happen and how to fix !!

Cursor is blinking? Really nothing else happens after bios logo? Disk light doesn't flash as well afterwards?
