Can i go upgrade Vista Ultimate to 7 Enterprise?

I currently have Windows Vista Ultimate on my Sony Vaio laptop. My company offers 64 bit Windows 7 Enterprise for free but not Windows 7 Ultimate.

I don't know much about Enterprise but can I upgrade my OS with it? Or do I need to shell out the $$$ to buy Windows 7 Ultimate?

What version of Vista do you have at the moment 32 or 64 bit, is your machine capable of running 64 bit ?

If your machine can run the 64 bit why wouldn't you want to take the offer from your firm and have the Enterprise copy or is there something that you actually need that can only be found in Ultimate ?
